Hewitt Associates Announces Dutch Auction Tender Offer

Hewitt Associates, Inc. (NYSE:HEW), a global human resources services company, today announced its intention to purchase up to 15,625,000 shares of its outstanding Class A common stock through a modified “Dutch Auction” tender offer.

“We’re pleased that our continued strong cash position and expected future cash flows afford us the opportunity to return cash to our stockholders,” said Russ Fradin, chairman and chief executive officer. “The tender offer is an efficient mechanism for returning the cash, and the $500 million amount allows us the flexibility for significant further reinvestment in the business, including making acquisitions where appropriate, and funding the right internal projects to accelerate our growth.”

The Company is offering to purchase up to 15,625,000 shares, or approximately 14% of its outstanding Class A common stock, at a purchase price between $28.75 and $32.00 per share. The tender offer commences tomorrow, Wednesday, August 8, and is set to expire, unless extended, at 12:00 midnight, New York City Time, on Wednesday, September 5, 2007. Tenders of shares must be made prior to the expiration date of the tender offer and any shares tendered may be withdrawn any time prior to the expiration of the tender offer.

Under the procedures of the tender offer, the Company’s stockholders will have the opportunity to select the price within the specified range at which each stockholder is willing to sell all or a portion of his or her shares to the Company. Based on the number of shares tendered and the prices specified by tendering stockholders, the Company will determine the single per share price within the range that will enable it to buy 15,625,000 shares, or such lesser number of shares as are properly tendered and not withdrawn. All shares accepted in the tender offer will be purchased at the same determined price per share regardless of whether the stockholder tendered at a lower price. If holders of more than 15,625,000 shares properly tender and do not withdraw their shares at or below the determined price per share, the Company will purchase shares tendered by those stockholders, at the determined price per share, on a pro rata basis, except for “odd lots” (lots held by owners of less than 100 shares), which the Company will purchase on a priority basis, as specified in the tender offer. Stockholders whose shares are purchased in the tender offer will be paid the determined purchase price net in cash, without interest, promptly after the expiration of the offer period. The offer is not contingent upon the receipt of financing or any minimum number of shares being tendered, but is subject to various other conditions described in the Offer to Purchase.

Goldman, Sachs & Co. will serve as the dealer manager for the offer. Georgeson, Inc. will serve as the information agent for the offer.

The Company’s board of directors has approved the tender offer.
